Terms of Service

These Terms of Service ('Terms') constitute a legally binding agreement between you ('User', 'Customer', or 'Subscriber') and SOSM Services Pvt Ltd ('Company', 'we', 'us', or 'our'), a company incorporated under the Companies Act, 2013 with CIN U70200PN2024PTC236589, having its registered office at B4/5, Omkar Plaza, Rajaram Road, Kolhapur, Maharashtra 416001, India.

By accessing or using Account Books ('Platform' or 'Service'), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

Account Books is a cloud-based ERP and accounting software platform designed for Indian businesses. The Service includes:

• →Financial accounting, ledger management, and GST filing tools
• →Sales, purchase, and inventory management modules
• →Manufacturing (BOM & production orders), payroll, and fixed assets
• →Multi-branch and multi-company management capabilities
• →Bank reconciliation and MIS reporting dashboards
• →AI-generated executive business summaries (Growth & Enterprise plans)
• →APIs, integrations, and any other features added from time to time

The Service is offered on a subscription basis (annual licensing). Features available depend on the plan subscribed to — Starter, Growth, or Enterprise.

To register and use Account Books, you must:

• →Be at least 18 years of age
• →Be a duly authorised representative of a business entity registered in India, or an individual proprietor
• →Provide accurate, current, and complete registration information
• →Maintain the security of your login credentials and not share them with unauthorised persons

Account Responsibility

You are responsible for all activities that occur under your account. If you become aware of any unauthorised use of your account, you must notify us immediately at support@accountbooks.in. We are not liable for any loss resulting from unauthorised use of your account where you failed to notify us promptly.

Accurate Information

You must not impersonate any person, misrepresent your affiliation with any entity, or provide false information during registration or at any time while using the Service.

Plans & Pricing

Account Books is offered under three annual subscription plans. Pricing is as published on our website at the time of subscription and is subject to change with 30 days' prior notice.

• →Starter — ₹9,999/year (2 Users, 1 Company)
• →Growth — ₹15,000/year (5 Users, 3 Companies)
• →Enterprise — ₹20,000/year (10 Users, 5 Companies)

Billing

All subscriptions are billed annually in advance in Indian Rupees (INR). Payments are due before the subscription period begins. We accept UPI, NEFT/RTGS, credit/debit cards, and net banking. All prices are exclusive of applicable taxes (GST), which will be charged at prevailing rates.

Renewals

Subscriptions do not auto-renew by default. We will send a renewal reminder 30 days before expiry. Failure to renew will result in suspension of access at the end of the subscription period. Your data will be retained for 60 days post-expiry to allow renewal or export.

Refunds

Subscription fees are non-refundable except as set out in our Refund Policy available at /refund-policy. We do not offer pro-rated refunds for early cancellation.

Upgrades & Downgrades

You may upgrade your plan at any time; the price difference for the remaining period will be charged. Downgrades take effect at the next renewal.

You agree to use the Service only for lawful business purposes and in accordance with these Terms. You must not:

• →Use the Service to process, store, or transmit unlawful, fraudulent, or deceptive financial information
• →Attempt to gain unauthorised access to any part of the Service or its infrastructure
• →Upload malware, viruses, or any code intended to disrupt or damage the Service
• →Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service
• →Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent
• →Scrape, crawl, or extract data from the Service using automated means
• →Use the Service in any manner that could impair its performance or overload our servers
• →Violate any applicable Indian law, including the IT Act 2000, GST laws, FEMA, or any SEBI regulations

Your Data Belongs to You

All business data, financial records, transaction history, and other content you upload, create, or store within the Service ('Customer Data') remains your property. We claim no ownership over your Customer Data.

Our Licence to Process Your Data

By using the Service, you grant us a limited, non-exclusive licence to host, process, and transmit your Customer Data solely to provide and improve the Service. This licence ends when you delete your data or terminate your account.

Data Export

You may export your Customer Data at any time in standard formats (PDF, Excel, CSV) from within the platform. After account termination, we will make your data available for export for 60 days, after which it will be securely deleted.

Data Security

We implement industry-standard security measures including encryption in transit (TLS 1.2+), regular backups, and access controls. However, no system is completely secure and we cannot guarantee absolute security. Please refer to our Privacy Policy for full details.

The Service, including all software, algorithms, user interfaces, designs, content, databases, and documentation, is the exclusive intellectual property of SOSM Services Pvt Ltd and is protected under the Copyright Act 1957, the Trade Marks Act 1999, and other applicable Indian and international intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during your subscription period.

• →You must not copy, reproduce, or create derivative works of the Service
• →You must not remove or alter any proprietary notices or labels on the Service
• →Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to you
• →The name 'Account Books', 'SOSM Services', and associated logos are our trademarks — you must not use them without written permission

Each party ('Disclosing Party') may disclose confidential information to the other ('Receiving Party') in connection with the Service. 'Confidential Information' means any information designated as confidential or that a reasonable person would consider confidential given its nature and the circumstances of disclosure.

The Receiving Party agrees to: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses for its own confidential information; (b) not disclose it to any third party without prior written consent; (c) use it only for the purpose of using or providing the Service.

Confidentiality obligations do not apply to information that: (i) is or becomes publicly available without breach of these Terms; (ii) was known to the Receiving Party before disclosure; (iii) is required to be disclosed by law or court order (provided prompt notice is given).

Uptime Target

We target 99.5% monthly uptime for the Service, excluding scheduled maintenance windows. Scheduled maintenance will be communicated via email and in-app notices at least 48 hours in advance.

Service Modifications

We reserve the right to modify, update, or discontinue any feature of the Service at any time. Material changes that adversely affect core functionality will be communicated with at least 30 days' notice. We may add new features or modules without prior notice.

Third-party Dependencies

The Service may integrate with third-party services (e.g., GST portal APIs, banking APIs). We are not responsible for the availability or accuracy of third-party services.

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.

No Warranty

The Service is provided 'as is' and 'as available' without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that: (a) the Service will meet your specific requirements; (b) computations, reports, or GST outputs will be error-free (you remain responsible for verifying all regulatory filings); (c) the Service will be uninterrupted or free from bugs.

You agree to indemnify, defend, and hold harmless SOSM Services Pvt Ltd and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of:

• →Your use of or inability to use the Service
• →Your breach of these Terms
• →Your violation of any applicable law or regulation
• →Your infringement of any third-party rights
• →Any false or inaccurate financial data you input into the Service

Termination by You

You may terminate your subscription at any time by notifying us in writing at support@accountbooks.in. Termination takes effect at the end of the current annual subscription period. No refund is provided for the unused portion.

Termination by Us

We may suspend or terminate your account immediately and without notice if: (a) you breach any provision of these Terms; (b) we are required to do so by law; (c) your account is involved in fraudulent or illegal activity. We may terminate for convenience with 30 days' written notice.

Effect of Termination

Upon termination: (a) your licence to use the Service ends immediately; (b) you may export your data within 60 days; (c) all outstanding fees become immediately due; (d) provisions that by their nature should survive termination (Intellectual Property, Liability, Indemnification, Governing Law) will survive.

These Terms are governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts at Kolhapur, Maharashtra, India.

Before initiating formal proceedings, both parties agree to attempt good-faith resolution of any dispute through direct negotiation for at least 30 days.

We may revise these Terms from time to time. When we make material changes, we will notify you by:

• →Sending an email to your registered email address
• →Displaying a prominent notice within the Service
• →Updating the 'Last Updated' date at the top of this page

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service before the effective date.
